Article I Name
This organization shall be called the Wayne State
Student Chapter of the Association for Computing Machinery. In these
Bylaws it is referred to as the Chapter; the Association for Computing
Machinery is referred to as the ACM.

Article II Purpose
-
1. The Chapter is organized and will be operated
exclusively for educational and scientific purposes to promote the
following:
-
An increased knowledge of and greater interest in
the science, design, development, construction, languages,
management and applications of modern computing.
-
Greater interest in computing and its applications.
-
A means of communication between persons having an
interest in computing.
-
A connection between students, faculty, and
administration.
-
The Chapter will keep students up-to-date on new
developments and issues in the field of computing.
-
The Chapter will provide learning opportunities
through interaction with computer professionals and other resources.
-
The Chapter is chartered by the ACM.

Article III Membership
-
Membership in the Student Chapter shall be open to
all. The Chapter will not discriminate on the basis of race, creed,
religion, gender, or other affiliation.

Voting membership in the Student Chapter shall be
granted to all people who are National ACM members.
-
Non-voting memberships in the Student Chapter shall be
granted to chapter members who are not National ACM members. They may
attend all Chapter functions and meetings.

Article IV Officers
-
The officers of this Chapter shall be: President, Vice
President, Secretary, and Treasurer. These officers constitute the
Council.

All officers of the Chapter must be members of ACM and
must maintain a 2.0 grade point average to be checked by the Sponsor
after election.
-
The officers shall be elected by a plurality of
the votes cast at the annual election meeting. They shall take office
during the last meeting of the school year and serve until the next
election. No member may serve in the same position for more than one
year except in the event it is approved by a quorum as defined in
Article XI.2.

If the office of President becomes vacant for any
reason during the term, the Vice President shall take office of
President. All other vacancies shall be filled by plurality of vote by
members. Any resignations must be given two weeks in advance.

Article V Duties of Officers
All officers are responsible to work with his or her
predecessor to establish continuity for the following year.

The President is the principal officer and is
responsible for leading the Chapter and managing its activities in
accordance with the policies and procedures of the ACM and these
bylaws. The President shall be a member of the Program Committee.
Other duties of the President include:
-
Presiding at all meetings of the chapter and of its
Executive Council.
-
Preparing an agenda to be available two days prior
to each meeting. This agenda will be available to all members at
each meeting.
-
Perform other duties as requested by the membership.
-
The Vice President is the secondary officer of the
Chapter and shall preside at meetings in the absence of the President.
Other duties of the Vice President include:
-
Assisting the President in the management of the
Chapter.
-
Acting as Chair at all committee meetings. (If the
Vice President does not choose to become committee Chair, a Chair
will be elected by plurality of vote by committee members.)

Performing other duties that may be assigned by the
President.

The Secretary shall keep the minutes of all Chapter
and Executive Council meetings. Other duties of the Secretary include:
-
Maintaining the records of the Chapter.
-
Preparing and submission of the Chapter’s activity
report and officer contact to ACM Headquarters.
-
Submitting any proposed amendment to these bylaws to
the Executive Council. Proposed amendments must be approved before
they can be submitted to the Chapters membership for a vote.
-
Submitting of the minutes recorded during the
previous meeting for approval by the Chapter at each meeting.
-
Performing other duties as assigned by the
President.
-
The Treasurer shall collect dues, pay all bills, and
maintain the Chapters financial records. Duties of the Treasurer also
shall include:

Preparing of the Chapter's Annual Financial Report
for presentation to the Chapter at the Annual Election meeting.

Completing and submission of the Annual Financial
Report to ACM Headquarters.
-
Collecting of dues from each voting member.
-
Establishing a budget for the upcoming year.
-
Representing ACM when requesting funds from
organizations on and off-campus.
-
Performing other duties as assigned by the
President.

Article VI Chapter Sponsor
-
The Sponsor shall be a faculty member or full-time
staff member of Wayne State College. Each Student Chapter has one Lead
Sponsor and Associate(s).
-
The Student Chapter Lead Sponsor shall be a
voting member of ACM and either a member of the faculty or full-time
staff of Wayne State College.
-
Associate Sponsor(s) will be granted voting rights
upon payment of National ACM dues.
-
The Student Chapter Lead and Associate Sponsor(s)
shall be selected by the Executive Council immediately following the
Election Meeting.
-
The Student Chapter Lead Sponsor shall be generally
responsible for the activities of the Chapter. Specifically, the Lead
Sponsor: $$$

Helps provide continuity from year to year as
student leadership and personnel change;
-
Promotes good student-faculty relationships;
-
Helps maintain university standards in all
activities of the Chapter;
-
Exercises financial supervision, if necessary, by:
-
promoting prompt payment of bills and collection
of dues, and
-
overseeing the settlement of all accounts in the
event of dissolution of the Chapter; and
-
represents the Chapter interests to the faculty
and administration.
-
The Associate Sponsor(s) will assist the Lead Sponsor
in whatever capacities deemed necessary.

Article VII Executive Council
-
The Executive Council shall consist of the Chapter
officers, the Student Chapter Sponsor, and Presidents of the Chapter’s
standing committees. The President shall be the presiding officer of
the Executive Council.

The Executive Council shall consist of the Chapter
officers, the Student Chapter Sponsor, and Chairs of the Chapter’s
standing committees.
-
The Term of the members of the Executive Council shall
be coincident with the terms of the officers. They shall take office
on the day of election and serve until the next election.

Article VIII Standing Committees
The standing committees of the Chapter shall be Program,
Membership, Publicity, and Historian.
-
The Program Committee shall plan and make arrangements
for the programs of the Chapters meetings in accordance with the
memberships interests and the aims of the Chapter as set forth in
Article II. The Program Committee shall work closely with the
President to prepare for all meetings.

The Publicity Committee shall maintain a mailing list
and publish and distribute all notices and publicity for and to the
members of the Chapter. This includes but is not limited to the
following:

Submission of meeting notice to student publications.
-
Advertise all meetings and activities.
-
Maintain a presence on the world-wide-web.
-
The Membership Committee shall actively recruit new
members and voice the concerns of existing members.
-
The Historian shall be responsible for the upkeep of
the Chapter scrapbook. He or she will take photographs during
activities.
Each standing committee of the Chapter shall elect a
Chair in the event the Vice President declines becoming Chair. The
duties of the Chair shall mirror the duties of the President during
committee meetings.

Article IX Meetings

Meetings shall be held as planned by the President in
conjunction with the Program Committee. The Chapter shall hold
meetings only in places that are open and accessible to all members of
the Association.

The Annual Election meeting shall be held during the
second or third week of April. At this meeting, the Secretary and
Treasurer each shall present the required reports. Also, the election
of officers shall be held. Notices of all meetings shall be
distributed to all members at least one week prior to any meeting by
the President or a representative of the Publicity Committee.

Article X Disbursements and Dues

Disbursements from the Treasury for Chapter
expenditures shall be made by the Treasurer with authorization of the
Executive Council and shall be included in the minutes of its
meetings.

Dues shall be fixed annually by the Executive Council.

Article XI Amendment and Voting
Procedures
-
All proposed changes to these Chapter Bylaws shall be
approved by the Executive Council and the ACM Constitution and Bylaws
Committee before being presented to the Chapter membership for a vote.
-
No official business of the Chapter shall be conducted
unless a quorum is present. A quorum of the Chapter shall be defined
as two-thirds of the voting membership of the Chapter.
-
A simple majority of the voting members present shall
be required to carry a motion.
-
Officers will be elected by a plurality of votes cast.

Article XII Dissolution of the Chapter
-
Dissolution of this Chapter by consent of the members
shall consist of unanimous agreement of all its officers together with
a majority vote at a meeting which has been publicized in advance to
all members of the Chapter for the purpose of taking this vote.

Should this Chapter be dissolved, its assets and
liabilities shall be transferred to ACM and shall be supervised by the
Executive Council.
